1. Acceptance of Terms

By accessing or using Standouta's platform, website, and services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, please do not use our Services.
These Terms apply to all users of the platform, including clients, visitors, and any other persons who access our Services.

2. Services Description

Standouta provides AI-powered digital agency services including but not limited to: brand identity design, website design and development, digital strategy, content strategy, and performance marketing.
Our platform enables clients to: complete discovery sessions, receive AI-generated strategic proposals, review and approve scope of work, sign contracts, make payments, and track project delivery.
All services are custom-quoted. There are no predefined pricing packages. All quotes are tailored to the specific needs of each client.

3. Account Registration and Access

To access the client portal, you must create an account. You are responsible for maintaining the confidentiality of your login credentials.
You agree to provide accurate, current, and complete information during registration and to keep it updated.
You are responsible for all activities that occur under your account. Notify us immediately at hello@standouta.com if you suspect unauthorized access.
We reserve the right to suspend or terminate accounts that violate these Terms.

4. Discovery Sessions and AI Features

Our AI-powered discovery and proposal features use Google Gemini to generate strategic insights. AI outputs are provided as a starting point for discussion and do not constitute final legal, financial, or business advice.
AI-generated proposals, scope drafts, and recommendations require human review by our team before they become binding. You will have the opportunity to review, negotiate, and approve all proposals.
By submitting a discovery session, you grant us permission to process your business information to generate strategic recommendations.

5. Payments and Billing

All payments are processed through Polar, our payment provider. By making a payment, you also agree to Polar's terms of service.
Payment requests are issued by Standouta based on approved quotes. Payments are required as outlined in your signed Statement of Work.
Deposits are generally non-refundable once work has commenced. Milestone payments are issued upon completion of the corresponding deliverables.
All prices are quoted in USD unless otherwise specified in your proposal. Exchange rate risk is borne by the client for payments in other currencies.

6. Intellectual Property

Client deliverables: Upon receipt of full payment, Standouta assigns all intellectual property rights in the deliverables created specifically for you to you, as outlined in your signed contract.
Platform and tools: The Standouta platform, including all software, design, and content, remains the exclusive property of Standouta. These Terms do not grant you any rights to our platform beyond the right to use our Services.
Client-provided materials: You represent that you have all necessary rights to any materials you provide to us and that our use of them does not infringe any third-party rights.

7. Confidentiality

Both parties agree to keep confidential any non-public information received from the other party in connection with the Services.
This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Standouta's total liability for any claim arising from or related to these Terms or the Services shall not exceed the total fees paid by you in the three months preceding the claim.
Standouta shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities.

9. Governing Law

These Terms are governed by the laws of the United Arab Emirates. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE.

10. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes by email or by posting a notice on our platform. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
